Welcome to Screen-to-Scan™. These Terms of Service ("Terms") govern your access to and use of the Screen-to-Scan™ website, products, and services ("Services"), so please read them carefully.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these Terms.

Screen-to-Scan™ provides comprehensive done-for-you patient acquisition and marketing management services designed specifically for independent imaging centers. Our services include paid social media advertising (Meta), automated follow-up via email/SMS/AI, 24/7 booking and conversion systems, CRM setup and lead management, monthly strategy and optimization, and performance reporting across all managed platforms.

3.1 Account Creation

To use certain features of our Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for any activities or actions under your account. You agree to notify Screen-to-Scan™ immediately of any unauthorized use of your account. Screen-to-Scan™ will not be liable for any losses caused by any unauthorized use of your account.

3.3 Account Types

We may offer different types of accounts for different types of users. The features and functionality available to you may depend on the type of account you have.

4.1 Pricing

Our services are offered with the following pricing structure:

• Setup & Build-Out: One-time fee covering full system build, ad creative, CRM configuration, ScanBot AI setup, and onboarding. Pricing disclosed during the strategy call.
• Monthly Management: Ongoing management of ad campaigns, lead nurturing sequences, reporting, and optimization. Pricing disclosed during the strategy call and locked in at the rate agreed upon at signing.

4.2 Billing

By providing a payment method, you authorize us to charge you for all fees associated with your subscription. If your payment cannot be completed, we reserve the right to suspend or terminate your access to the Services.

4.3 Taxes

Unless otherwise stated, fees do not include any taxes, levies, duties, or similar governmental assessments, including value-added, sales, use, or withholding taxes. You are responsible for paying all taxes associated with your purchases.

4.4 Refund Policy

Due to the nature of our Services, all payments are non-refundable unless otherwise specified in writing or covered by our 90-Day Money-Back Guarantee as outlined in your service agreement.

5.1 Term

These Terms will remain in full force and effect while you use the Services or maintain an account with us.

5.2 Termination by You

Our services require an initial 90-day commitment period from the start date of your service. During this initial 90-day period, you may not terminate your account except for cause (such as a material breach by Screen-to-Scan™ that remains uncured after 30 days written notice).

After the initial 90-day commitment period, you may terminate your account with 30 days written notice by contacting us at [email protected]. Upon termination, your right to use the Services will cease at the end of the notice period. Any invoices that become due during the 30-day notice period remain your obligation to pay.

5.3 Termination by Us

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

5.4 Effects of Termination

Upon termination of your account, we will cease providing you with the Services and you will no longer have access to your account. We reserve the right to delete or retain your data in accordance with our Privacy Policy and applicable laws.

6.1 General Conduct

You agree not to:

• Use the Services in any way that violates any applicable laws or regulations.
• Attempt to interfere with the proper functioning of the Services.
• Engage in any activity that could harm, disable, overburden, or impair our servers or networks.
• Attempt to gain unauthorized access to any part of the Services or any accounts, systems, or networks connected to the Services.
• Use any automated process or service to access or use the Services.
• Introduce any viruses, trojan horses, worms, logic bombs, or other harmful material into the Services.

6.2 Content Restrictions

You agree not to upload, post, transmit, or otherwise make available any content that:

• Infringes any intellectual property rights or other proprietary rights.
• Is false, misleading, or deceptive.
• Contains viruses or any other harmful code.
• Violates the privacy rights of any third party.

7.1 Our Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, graphics, logos, images, and the design, selection, and arrangement thereof) are owned by Screen-to-Scan™, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7.2 License to Use Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your business purposes.

7.3 Restrictions

You may not:

• Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as permitted by these Terms.
• Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
• Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Services.
• Access or use for any commercial purposes any part of the Services or any services or materials available through the Services, except as expressly permitted by these Terms.

8.1 Data Ownership

You retain all rights to the data you provide to us. By using our Services, you grant us a worldwide, non-exclusive license to use, copy, modify, and store the data you provide solely to provide and improve our Services.

8.2 Privacy Policy

Please refer to our Privacy Policy for information on how we collect, use, and disclose information from our users. By using our Services, you agree to our collection, use, and disclosure of information as described in our Privacy Policy.

8.3 Data Security

We implement appropriate technical and organizational measures to protect your data. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

9.1 Third-Party Services

The Services may contain links to third-party websites or services that are not owned or controlled by Screen-to-Scan™. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

9.2 Platform Integrations

Our Services integrate with various third-party platforms including advertising platforms (Meta, Google), CRM systems, email/SMS providers, booking systems, and other business management tools. Your use of these platforms is subject to their respective terms of service and privacy policies. We act as an authorized agent in managing these integrations on your behalf.

9.3 Service Delivery

We manage campaigns and integrations on your behalf but do not control the availability, functionality, or policies of third-party platforms. Any changes to third-party platform policies or functionality may affect our service delivery.

10.1 Disclaimer of Warranties

The services are provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, Screen-to-Scan™ disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10.2 Limitation of Liability

To the fullest extent permitted by law, Screen-to-Scan™ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, whether based on contract, tort, negligence, strict liability, or otherwise, even if Screen-to-Scan™ has been advised of the possibility of such damages.

10.3 Cap on Liability

In no event shall Screen-to-Scan™'s total liability to you for all claims arising out of or relating to these Terms or your use of the Services exceed the amounts paid by you to Screen-to-Scan™ during the twelve (12) months preceding the claim.

You agree to defend, indemnify, and hold harmless Screen-to-Scan™, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or through the Services. Your continued use of the Services after such notification constitutes your acceptance of the modified Terms.

13.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Screen-to-Scan™ regarding your use of the Services.

13.2 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

13.3 Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions of these Terms will remain in full force and effect.

13.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Screen-to-Scan™'s prior written consent. Any attempt to assign or transfer these Terms without such consent will be null and void. Screen-to-Scan™ may assign or transfer these Terms, at its sole discretion, without restriction.

13.5 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in Broward County, Florida, and you consent to the personal jurisdiction of such courts.

13.6 Force Majeure

Screen-to-Scan™ shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
